I created a folder called HELP directly under the USB Drive (D): - which is the FAT drive of the DM42.
Downloaded the help file and saved as HTML only.
Copied that file into the HELP folder.
But, my DM42 does not see or cannot read the file. It says, "ERROR while reading help file".

What am I doing wrong? thanks.

UPDATE:
I figured it out. Had the extension .html instead of .htm
That seemed to fix it. :-)

You should download the file from the ftp site in the FAT\HELP folder and copy it directly to the HELP folder on the DM42. Opening the help file in a browser and then saving (from your post it seems like this is what you did) will modify the file and some things will not work. I'd suggest you replace the file with a fresh copy downloaded from FTP to avoid those issues; even though it is now fundamentally opening, you likely will run into issues.

It can be downloaded via HTTP from a browser, but you need to do it the right way. In Google Chrome, if the page you want to save is currently rendered in the browser window, right-clicking in the window and using the "Save as ..." option will convert all the relative links to absolute links in the saved file (even the links to different parts of the same page!), which you absolutely do not want for the DM42 Help index.html file. However, right-clicking on a link and using the "Save link as ..." option will download and save the link contents as-is, with the relative links preserved, which is what you want for the DM42 Help index.htm file.

Even with Firefox, there are differences between saving a page and saving a link, although at least Firefox does a better job of preserving intra-page links than Chrome.

Occasionally, Mozilla also do evil things, such as the Mr Robot stunt they pulled in Firefox recently.

One does it occasionally while the other one does it regularily. :P
